These Terms of Use govern your use of
palmspringspinotfest.com
(the “Site”), operated by Passion 4 Pinot
(“we,” “us,” or “our”).
By accessing or using the Site, you agree to these Terms. If you don’t
agree, please don’t use the Site. Separate Event Terms & Ticket
Purchase Agreement apply when you buy tickets to our events.

1. Acceptance of Terms

By accessing the Site, creating an account, subscribing to our email list,
or otherwise interacting with us online, you agree to be bound by these
Terms of Use, our
Privacy Policy, and any other policies
referenced here. These Terms form a binding agreement between you and
Passion 4 Pinot.

2. Eligibility & Age Requirement

The Site and our events are intended for adults of legal drinking age
(21 and older in the United States). By using the Site, you represent
and warrant that you are at least 21 years old. We reserve the right to
request age verification at any time and to refuse service if we cannot
verify your age.

3. Use of the Site

You agree to use the Site only for lawful purposes. You agree not to:

• Use the Site in any way that violates applicable law or regulation
• Attempt to gain unauthorized access to the Site, our systems, or other users’ accounts
• Interfere with or disrupt the operation of the Site
• Use any automated means (bots, scrapers, crawlers) to access or collect data from the Site without our written permission
• Impersonate any person or entity or misrepresent your affiliation
• Transmit viruses, malware, or other harmful code
• Use the Site to harass, abuse, or harm others
• Resell, redistribute, or commercially exploit any part of the Site without our written permission

We may suspend or terminate your access to the Site at any time, with or
without notice, if we believe you have violated these Terms.

4. Intellectual Property

All content on the Site — including text, graphics, logos, photographs,
video, design, layout, and the “Palm Springs Pinot Fest” and
“Passion 4 Pinot” names and marks — is owned by us or our
licensors and is protected by U.S. and international copyright, trademark,
and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to view and
use the Site for personal, non-commercial purposes. You may not reproduce,
distribute, modify, create derivative works from, publicly display, or
commercially exploit any content from the Site without our prior written
permission.

Event photographs and videos taken at our events remain our property, and
you may not use them commercially without permission. See our Event Terms
& Ticket Purchase Agreement for details on the photo and video release
that applies when you attend an event.

5. User Content

If you submit content to the Site or to us — including comments,
reviews, social media tags, photos, or feedback — you grant us a
non-exclusive, worldwide, royalty-free, perpetual, transferable license
to use, reproduce, modify, adapt, publish, and display that content in
connection with our business, including in marketing and promotional
materials. You represent that you own or have the right to share any
content you submit and that it doesn’t violate the rights of any
third party.

We reserve the right to remove any user content at our discretion, but
we have no obligation to monitor or moderate user content.

6. Third-Party Links & Services

The Site may contain links to third-party websites and services, including
our ticketing partner TicketSpice, payment processors, social media
platforms, embedded YouTube videos, venue partners, and others. We’re
not responsible for the content, privacy practices, or terms of these
third parties. Your use of any third-party service is subject to that
service’s own terms and policies.

7. Disclaimers

The Site is provided “as is” and
“as available” without warranties of any kind, either express
or implied. To the fullest extent permitted by law, we disclaim
all warranties, including implied warranties of merchantability, fitness
for a particular purpose, non-infringement, accuracy, and uninterrupted
or error-free operation.

We don’t warrant that the Site will be available at all times, that
it will be free from errors or security vulnerabilities, or that the
information on it is accurate, complete, or current. Event details
(dates, times, lineups, venues, pricing) are subject to change.

8. Limitation of Liability

To the fullest extent permitted by law, in no
event will Passion 4 Pinot, its owners, employees, agents, or affiliates
be liable for any indirect, incidental, special, consequential, exemplary,
or punitive damages arising out of or related to your use of the Site,
including loss of profits, data, goodwill, or other intangible losses,
even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising
out of or related to the Site will not exceed one hundred U.S. dollars
($100) or the amount you paid us in the twelve months before the claim,
whichever is greater.

Some jurisdictions don’t allow the exclusion or limitation of certain
damages, so some of these limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Passion 4 Pinot and
its owners, employees, agents, and affiliates from any claims, damages,
losses, liabilities, and expenses (including reasonable attorneys’
fees) arising out of or related to your use of the Site, your violation
of these Terms, or your violation of any rights of another party.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without
regard to its conflict-of-law principles. Any dispute arising out of or
related to these Terms or the Site will be resolved in the state or
federal courts located in Riverside County, California, and you consent
to the personal jurisdiction of those courts.

Before filing any formal legal action, you agree to first contact us at
[email protected] to attempt
to resolve the dispute informally. Most disputes can be resolved this way.

Any claim must be brought within one (1) year after it arises, or it is
permanently barred.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we’ll
update the “Last Updated” date at the top. If we make
material changes, we’ll provide more prominent notice. Your
continued use of the Site after changes take effect means you accept
the updated Terms.
